Bylaws and Articles Of Incorporation


Article I - Name


The name of this association shall be the Model Dog Hobby Association Inc,

abbreviated as MDHA.


Article II - Objectives


MDHA mission is to serve as an inclusive organization to promote the model dog hobby.

MDHA aim is to promote all facets of the model dog hobby and to provide support for the

future development of model dog showing, customizing, and collecting, which includes but is not

limited to:


a)

Promoting the model dog hobby to the public to develop interest, support, and recognition.

b)

Building communication about the model dog hobby.

c)

Distributing information to enthusiasts.

d)

Enhancing the prestige of member shows.

e)

Offering new goals to model dog exhibitors by sponsoring mail in model dog shows, live model

dog shows and conventions.

f)

To offer a sanction for model dog clubs that apply for cover.

g)

To offer Prefix Title to model dogs achieving championship merit in competition of live model shows and conventions, online and mail in shows.


Article III - Membership


Section 1. General

Youth membership are free.

Single membership are free.

Family membership are free.

Each member show shall have one vote on issues submitted to the membership by the Board of

Directors and shall have all responsibilities as stated in these Bylaws. A family membership

receives two votes.


Section 2. Membership Procedure


Each applicant must send a completed membership application form (available by sending a LSASE to

the MDHA Secretary or by filling out membership form online) to the MDHA Secretary. Upon receipt

of the application, the Secretary (or his/her designee) shall review the application materials and, provided

all requirements are met, shall add the party to the MDHA membership.


Section 3. Loss Of Membership


a) Voluntary Resignation: A member may resign from membership of MDHA by sending written

notice to the President or by volunteer deletion from the Modeldogs Yahoo Group.


b) Involuntary Loss of Membership: A membership may be suspended or revoked by MDHA for

violation of requirements set forth in these Bylaws. Such revocation will not relieve said member from

the obligation to pay any outstanding dues.



Article IV - Board of Directors


Section 1. Composition

The Board of Directors shall consist of up to seven members to include the President, Vice President,

Secretary, Treasurer, Parliamentarian, and all have voting privileges. The Board of Directors will also include committee chairpersons in discussions which affect their committee's project. Postions of committee chairpersons are: Publicist, Judge’s Advocate - Hiring of Judges, Awards Department, Classlist Preparation, Obtaining Showhall, Show Premium and Mailing, Newletter Editor, Fundraising, Auctions,

Kitchen & Show Menu, and Ways & Means.


Section 2. Responsibilities

The Board of Directors will discuss and vote on issues as required to facilitate the operation of the

Association. In addition, the Board of Directors may be called upon to act on behalf of MDHA for

promotion and distribution of information about the Association to interested parties.


Article V - Officers


Section 1. General


The Officers of MDHA shall be President, Vice President, Secretary/Treasurer, Publicist

and Parliamentarian.


Elections of Officers:

Each year there shall be a Elections of Officers held on or just before January 1st to elect a new board of

directors for those directors whose terms are up. Terms shall be set at 3 years.

The President duties are:

serve as the primary spokesperson for MDHA

serve as ex-officio member of MDHA committees;

ensure that all members of the Board of Directors are informed and able to participate in all

discussions of the Board;

initiate the forming of any committees needed to carry out MDHA business, and appoint a

committee chairperson with consent of the Board of Directors;

call meetings of the Board as necessary to administer the business of MDHA and/or as

requested by members of the Board or member shows;

preside at meetings of the Board.


Vice President duties are:

act as the first officer to the President to carry out MDHA business;

perform the duties of the President in the absence of the President; and

serve as the President's representative as directed.


Secretary duties are:

maintain a list of current members;

keep records of all official correspondence;

keep a record of the Minutes of Any Meeting held;

perform or administer all official mailings to the membership; provide member with information;

collect and forward all membership dues to the Treasurer; and

oversee elections of officers and Regional directors.


Treasurer duties are:

be responsible for the MDHA bank account;

collect all moneys due to the association through dues, donations, or fundraising efforts;

report monthly to the Board of Directors on the status of MDHA bank account; and

write checks for the payment of MDHA expenses.


Parliamentarian duties are:

direct Board operation in accordance with Robert's Rules of Order;

establish an appropriate deadline for Board votes;

tally the Board votes and report results when voting is complete


Section 2. Removal of Officers


Upon evidence of an officer's incapacity to serve, the Board of Directors may declare that office to be

vacant by majority vote.


Section 3. Vacancies


a)

In the event the office of President becomes vacant for any cause, the Vice President will become

the President of MDHA and will serve for the remainder of the term.

b)

In the event the office of Vice President becomes vacant for any cause, the office of the Vice

President shall be filled by special election by the MDHA membership.

c)

In the event of vacancy of Secretary, Treasurer or Parlimentarian office for any cause, the

President will appoint a replacement with majority consent of the Board of Directors within a

30-day period.


Article VI - Committees


Section 1. General


Committees will be formed based on the need to carry out MDHA business. These committees

include, but are not limited to:


Judge’s Advocate - Hiring of Judges Committee

Awards Department Committee,

Classlist Preparation Committee

Obtaining Showhall Committee

Show Premium and Mailing Committee

Newsletter Editor Committee

Fundraising and Auctions Committee

Kitchen & Show Menu Committee

Ways & Means Committee.

Section 2. Appointment of Committee Chairpersons


Chairpersons for necessary committees will be appointed by the President with majority consent of the

Board of Directors. The committee Chairpersons will be included in Board of Directors meetings and

discussions that have an effect on their committee i.e., a Board of Directors meeting regarding dates

and awards should include the that Committee Chairperson. Committees may be established with

only one person serving.


Section 3. Duties of Committees

Judge’s Advocate - Hiring of Judges Committee duties are:

To contact every judge at least 30 days before their judging assignment to be sure the judge is still available.

To use the Calendar Announcement Feature on Yahoo to publish the up coming shows.

To find a replacement judge for any judge that cannot fulfill their duty.

To keep a record of all judges upon completion or non completion on their judging duty.


Awards Department Committee duties are:

To find suitable awards for any special shows or live model dog shows for review to

the BoD.


Classlist Preparation Committee duties are:

To prepare any class list for any special shows or live model dog shows for review to

the BoD.


Obtaining Showhall Committee duties are:

To find a reasonable cost showhall for the purpose of holding a model dog show for review

to the BoD.


Show Premium and Mailing Committee duties are:

To publish and mail out any live model dog show packet/information upon approval of

the BoD.


Newsletter Editor Committee duties are:

To publish by mail or by internet a newsletter for MDHA


Fundraising and Auctions Committee duties are:

To discuss all fundraisers and auction that would benefit any show sanctioned by or

offered MDHA.


Kitchen & Show Menu Committee duties are:

To offer a food menu either by kitchen site at show hall or by private caterer with approval

by BoD for any live model dog show. With all proceeds going to cover first the cost of

food and second towards expenses of the show.


Ways & Means Committee duties are:

To bring forth any business that is for the good and benefit of MDHA.

Bylaws Committee duties are:

To review the bylaws at the end of each year for the purpose of adding additional articles

or to update or delete an article with final approval from the BoD.


Publicist duties are:

To list all mail in live model shows in whatever advertising newspapers are available;

To write stories concerning the club and its shows for publishing;


Section 4. Disbanding of Committees


Once the committee has accomplished its project, the committee will disband.


Article VII - Meetings


Section 1. Meetings


MDHA meetings are open to anyone interested and will be held in MDHA Chat Forum area

every 30 to 60 days or when the President calls for a meeting. Current business will be discussed and new

officers and board members will be introduced. Minutes will be recorded automatically by the Chat Forum and


open to viewing to all members.


Section 2. Board of Directors Meetings

Meetings of the MDHA Board of Directors may be conducted by e-mail, telephone, mail, in person,

or any other effective method ensuring full participation. MDHA Board of Directors meetings

will be held via the internet and may be called by any member of the BoD via the MDHA BoD Yahoo

Group. Minutes from this meeting will be archived in the files of this group.


Section 4. Judges


Judges for the MDHA shall be selected and hired by the Judges Advocate Committee. Judges may show

in any division other the one they are judging. Each MDHA member must take a time judging at least

one divison per year or hire a judge to take their place.

Article VIII - Amendments


Section 1. Procedures for Amending the Bylaws


Procedures for amending the Bylaws are as follows:


a)

Amendments may be introduced by any active member or by any standing or special committee, including

the Bylaws Committee on its own motion.

b)

All proposed amendments shall be first submitted in writing to the MDHA Parlimentarian.

c)

The Parlimentarian shall present a proposed amendment to the Board of Directors.

d)

The Board of Directors shall consider the proposed amendment and if needed, appoint a bylaws

committee.

e)

The Bylaws Committee shall present the amendment in Bylaws language to the Board of

Directors.

f)

The Bylaws Committee shall, upon approval of wording by the Board of Directors propose the

amendment to the membership.

g)

Approval of proposed amendments shall require a majority of the member shows voting.


Article VIII - Dissolution

In the event of dissolution of MDHA, Inc. The Board of Directors shall turn club assets over

to IMEHA, Inc. as receivership.


Article IX - Acceptance of Bylaws


Each member shall signify, in writing, his or her agreement to conform to and abide by all provisions

herein as a condition of membership or continuing membership.
